Article 1: Name of the Association

The association has been created according to the French Law July 1st, 1901. The name of the association is:

EURODIR

Article 2: AIMS OF THE ASSOCIATION

The aims of the Association are the following:

  • Promoting the best training level for the managers working in the social and health field
  • Drawing up study programs and comparable Curricula
  • Increasing and sharing both skills, knowlegde and best practices between members
  • Faciliting exchange and professional mobility of students, teaching, staff  and managers working in the social and health field.

Article 4: LENGTH

The association has no time limit.

ARTICLE 5: COMPOSITION

The association gathers physical members and moral members, being:

  1.     Regular members
  2.     Honorary members
  3.     Benefactor members

ARTICLE 6: ADMISSION

To become a member of the association, the board and administration council have to accept. This agreement can be given at any time during the year, anytime the board and the council gather.

ARTICLE 7: RESSOURCES

The financial ressources of the association could be the following:

  1.     Membership fees
  2.     Public and private local, national and international fundings financing
  3.     Others – revoir la traduction: all the financial ressources legally authorized

ARTICLE 8: ASSEMBLEE GENERALE ORDINAIRE — PLENARY GENERAL MEETING

The plenary general meeting gathers all members who have regularly paid their membership fees.
The plenary general meeting gathers every year.
At least 15 days before the meeting, all members are invited to attend either by the president or the secretary. The agenda is submitted on the invitation. The President, along with the orther Board members is in charge of the meeting and inform on the moral report and activity of the association.
The treasurer informs on the statement of account.  During the plenary general meeting, the membership fees have to be fixed.
Only the written items on the agenda can be debate upon.

All the decisions are approved with a majority vote.

ARTICLE 9: ASSEMBLEE GENERALE EXTRAORDINAIRE — EXTRAORDINARY GENERAL MEETING

If necessary or on behalf of half og the members, the President can convene to an extraordinary general meeting, according to the statuts and in the only case of a change of statuts or disbanding or for real estate matters.

ARTICLE 10: CONSEIL D'ADMINISTRATION — BOARD

The association is led by a board, composed by …elected members for 3 years.  
The board members meets, at least once a year, invited either by the president or at least one quarter of the board members.
All the decisions are taken by a majority vote.
A board member, without any excuse, who will not attend at least 3 meetings will be dismissed.

Article 11: LE BUREAU — COMMITTEE MEETING

The committe meeting gathers, if at least, 3 members can attend : the President and two others.
The  board members nominates to the committee:

  • The president
  • One or more vice-presidents
  • One secretary, one assistant
  • One treasurer, an assistant

ARTICLE 12: MEMBERSHIP AND MEMBERSHIP FEES

The members pay an annual fee.  The board propose the annual fee for physical and legal persons depending on the Gross Domestic Product. It has to be rewiewed every three years. The General Assembly has to agree changes. New entries as members have the same rights and obligations as the others.

All the members have to pay a membership fee.

Members of Honour do not have to pay membership fees.
The Benefactor members pay membership fees as well as volontary subscription.

ARTICLE 13: WITHDRAWAL

Members can be expelled from the association in case of:

  • Dismissal
  • Death
  • Unpaid membership fees, serious matter
  • The striking off is settled by the Board Members
  1. Resignation
    The members may withdraw by giving their notice two months before a meeting (Board Meeting or General Assembly), or by registered letter to the president with acknowledgement of receipt. They then lose their membership of the network, and cannot use its name for any purpose. The annual fee for the current year is payable.
  2. Death
  3. Exclusion
    The Board can decide to dismiss a member for not respecting the network’s Charter, its statutes. The decision needs an absolute majority of the Board and the Committe meeting. They then loose their membership of the network, and cannot use its name for any purpose; The committee meeting must consider all explanation from the concerned member before the decision.

ARTICLE 14: ASSOCIATION INTERNAL RULES

The association rules can be established by the Board Members and has to be approved by the plenary general meeting.

ARTICLE 15: DISSOLUTION — Disbanding

In the case of the disbanding (article 9), one or more official liquidator are in charge of the disbanding. The money can be redistributed to another association with similar aims.
